履约保函
Performance Guarantee

致受益人：**********
To the beneficiary:**********

鉴于**********(下称“受益人”)与**********(下称“被保证人”)已/拟签订项目名称为**********的合同(下称“合同”)。被保证人需向受益人提供一份《履约保函》，本司（即保证人）同意为被保证人向受益出具本保函，担保范围为被保证人履行合同项下义务直至达到本保函最高担保金额。本保函为见索即付独立保函，未经受益人同意不可撤销。

Whereas**********(the “Beneficiary”) and ********** (the “Guaranteed”) has entered / proposed to enter into contract under project name********** (the “Contract”). The guaranteed shall provide a “Performance Guarantee” to the Beneficiary, and our Company (the Guarantor) agrees to issue this guarantee to the beneficiary for the guaranteed to perform the obligations under the contract until the maximum guaranteed amount of this guarantee is reached. This guarantee is an independent guarantee on demand and irrevocable without the consent of the beneficiary.

一、本保函担保金额最高为**********欧元。

二、本保函有效期自20**年**月**日起至20**年**月**日止。到期本保函自动失效，我方在本保函项下的义务与责任自动全部消灭，此后提出的索赔我方无赔付义务。本保函失效，请将本保函退还本司。但无论保函正本是否退还本司，本保函都自动失效。

This guarantee is valid from ****, 20** to *****，20**. This guarantee will automatically become invalid upon expiration, and our obligations and liabilities under this guarantee will automatically be extinguished. We have no obligation to pay any claims made thereafter. When this guarantee is invalid, please return this guarantee to our company. However, this guarantee shall automatically lapse whether the original is returned to the company or not.

三、在本保函有效期内，你方要求我方承担保证责任的，应向我方发出书面索赔通知。索赔通知应写明要求索赔的金额，支付款项应到达的账号。索赔通知需附上下述单据:1）被保证人未履行主合同约定，未按期足额支付款项提供证明材料；2）被保证人违约且有义务支付你方索赔款的生效裁判文书；3）法院出具的宣告被保证人破产的生效裁判文书；4）被保证人无可供执行财产而终结执行的执行裁定书。我方在收到你方以书面形式提出的在最高担保金额内的赔偿要求、保函原件后予以启动赔付程序，在7个工作日内按照本保函的承诺承担担保责任。

During the validity period of this guarantee, if you require us to assume the guarantee liability, you shall send us a written notice of claim. The claim notice shall state the amount claimed and the account to which payment shall be made. The claim notice shall be attached with the following documents: 1) proof materials if the guaranteed fails to fulfill the provisions of the main contract and fails to pay the amount on time and in full; 2) an effective judgment document that the guaranteed is in breach of contract and is obligated to pay your claim; 3) an effective judgment document issued by the court declaring bankruptcy of the guaranteed; 4) an enforcement ruling document that terminates enforcement because the guaranteed has no property to enforce. Upon receipt of your written claim for compensation within the maximum guarantee amount and the original letter of guarantee, we shall start the compensation procedure and assume the guarantee liability in accordance with the commitments of this letter of guarantee within 7 working days.

四、你方和被保证人按主合同约定变更主合同时，如加重我方担保责任的，应经我方书面同意，否则我方对加重的部分不承担担保责任。

When you and the guaranteed change the main contract according to the provisions of the main contract, for example, our guarantee liability is increased, shall gain our written consent; otherwise, we shall not bear the guarantee liability for the increased part.

五、因本保函发生的任何纠纷，均不得涉及受益人，由我方与被保证人双方协商解决，协商不成的，双方均可向我方所在地人民法院起诉。

Any dispute arising out of this guarantee shall not involve the beneficiary and shall be settled by us and the guaranteed through negotiation. If no agreement can be reached through negotiation, either party may bring a lawsuit to the people’s court at the place where we are located.

六、本保函自我方负责人(或其授权代理人)签字或签章并加盖公章之日起生效。

This letter of guarantee shall come into force upon being signed or sealed by the person in charge (or its authorized agent) of our side and shall be affixed with the official seal.

七、本保函适用中国法律。因本保函发生的争议由保证人所在地法院管辖。

This guarantee shall be governed by Chinese Law. Disputes arising from this guarantee shall be under the jurisdiction of the court of the place where the guarantor is located.

如本保函的中文与英文发生冲突，以中文版本为准。

In case of any inconsistencies between the English and the Chinese versions, the Chinese version shall prevail.
